WELCOME TO NBA VOICES!

General. By accessing and using voices.nba.com (the “Voices Site”), you signify your assent to these NBA Voices Terms of Use. If you do not agree to these NBA Voices Terms of Use, please do not use the Voices Site. These NBA Voices Terms of Use may be amended or modified, or new conditions may be imposed, at any time. Any such changes or additions will be reflected by an update of this posting. Please check these NBA Voices Terms of Use periodically for changes. Your continued use of the Voices Site following the posting of changes to these NBA Voices Terms of Use (including the NBA.com Privacy Policy and NBA.com Terms of Use) will mean you accept those changes and that such changes shall apply to your use of the NBA Voices Terms of Use after such changes have been posted.

User-Generated Content. All postings, text, images, messages, files and/or other materials posted, transmitted through or linked from the Voices Site (collectively, the “User Content”) is the sole responsibility of the person from whom such User Content originated. The Voices Site is a passive conduit and merely provides a forum for the transmission and dissemination of User Content. YOU AGREE THAT YOU MUST EVALUATE AND BEAR ALL RISK RELATED TO THE USE OF THE USER CONTENT. THE RESULTS OF ANY ACTIONS YOU TAKE BASED ON THE USER CONTENT YOU FIND ON THE SITE ARE YOUR RESPONSIBILITY ALONE. Under no circumstances will the Operator (as defined in the NBA.com Terms of Use) be liable in any way for the User Content or for any loss or damage of any kind incurred as a result of the use of any User Content listed, e-mailed or otherwise made available on the Voices Site.

You acknowledge that the Operator does not pre-screen or approve any User Content and has no obligation to monitor any User Content. However, the Operator reserves the right to review, modify, distribute, remove or delete any User Content at its discretion. The Operator reserves the right at all times to disclose any information as it deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in the Operator’s sole discretion.

The following is prohibited in any User Content:

(a) You are not allowed to upload, post or transmit any message, data, code or software that would violate the proprietary or intellectual property rights of the Operator or any third party, including unauthorized copyright text, images or programs, trade secrets or other confidential proprietary information, or use trademarks or service marks in an infringing fashion.

(b) You are not allowed to post, upload or transmit photos or video of any third party without their express permission. By uploading, transmitting or posting any video on the Voices Site, you warrant that you have express permission from all persons appearing in the media.

(c) You are not allowed to upload, post or transmit any materials, data or media that includes your or any third party’s email or street address, telephone number, last name, personal health or financial information, or any similar information identifying a user.

(d) You are not allowed to upload, post, or transmit any advertisements or solicitations of business, chain letters or pyramid schemes, bulk e-mail lists or to upload, post, or transmit the same posting more than once.

(e) You are not allowed to collect personal or otherwise identifying data about other users for commercial or unlawful purposes.

(f) You are not allowed to upload, post or transmit any commercial advertisements or solicitations for conduct or services that would in any manner constitute threatening, harassing, harmful or abusive behavior.

(g) You are not allowed to upload, post or transmit any materials that are fraudulent or involve the sale of counterfeit or stolen items.

(h) You are not allowed to upload, post or transmit any materials that could cause the Operator to violate any applicable law, statute, ordinance or regulation.

(i) You are not allowed to upload, post or transmit through the Voices Site any live animals, human beings or body parts, or illegal weapons or explosives (or plans related thereto).

3. Contests: At select times, the NBA may offer Contests or activities (“Contests”) which may award prizes to those who participate as directed. There is No Purchase Necessary to Enter or Win any Contest. Contests are open to legal residents of the 50 United States or the District of Columbia, 18 years of age or older as of date of participation. Employees, officers, directors, representatives and agents of NBA Properties, Inc. (“NBAP”) (collectively, “Sponsor”), NBA Media Ventures, LLC (“NBAMV”), the National Basketball Association (“NBA”) and its member teams, NBA TV, LLC (“NBATV”) (NBAMV, NBATV and NBAP collectively referred to as the “NBA Entities”) and each of their respective parent companies, subsidiaries, affiliates, officers, governors, owners, distributors, retailers, and advertising/promotion agencies and the immediate family members (i.e., parent, spouse, sibling or child and their respective spouses, regardless of where they reside) and those living in the same household of each, whether or not legally related, are not eligible to participate or win a prize. Void where prohibited by law. All applicable federal, state and local laws and regulations apply. Entrants may be asked to submit an entry based on a specific theme designated by the Sponsor at the time of entry. Entries will be judged based on the following criteria: 1) The perceived impact an entrant/nominee is making in their community; and 2) The entrant/nominee’s embodiment of the NBA values of equality, diversity, and inclusion. The 5-10 Entrants with the highest scores (as determined by Sponsor) will receive a prize. Prizes will not to exceed $500 in value. Sponsor reserves the right to award fewer prizes if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries for the applicable Contest. Prizes are subject to certain terms and conditions as specified by Sponsor at time of prize award.

Miscellaneous.

(a) By uploading, transmitting or posting any User Content, you grant Operator and its designees a perpetual, non-exclusive, worldwide, royalty-free license to use, copy, print, display, reproduce, modify, edit, publish, post, transmit, and distribute the content in its entirety or in part. The Operator is not obliged to maintain back-up copies of any material submitted or posted on this Site. You agree to indemnify the Operator, and each of its designees, affiliates and business partners, and each of their respective officers, directors, employees, or agents from any and all claims and losses, including attorneys’ fees, arising from any such materials or any failure to comply with the NBA Voices Terms of Use.

(b) These NBA Voices Terms of Use, along with the NBA.com Terms of Use, constitute the entire agreement between the parties, and supersede all prior and contemporaneous written or oral agreements, proposals or communications with respect to the subject matter herein between you and the Operator. The Operator in its sole discretion may amend these NBA Voices Terms of Use, and your use of the Site after such amendment is posted on the Site will constitute acceptance of such amendment by you. The section headings in these NBA Voices Terms of Use are for convenience only and must not be construed as legal advice to you. If any provision of these NBA Voices Terms of Use is held by a court of competent jurisdiction to be unlawful, void, invalid or unenforceable, the remaining provisions shall remain in full force and effect.
